Terms of Service
Effective date: February 20, 2026
1. Service Description
Thane provides a managed application hosting platform on AWS. Each customer receives a dedicated AWS account managed by Thane. The service includes:
- AWS account provisioning and management
- Application deployment and orchestration (ECS on EC2)
- Optional managed database (RDS PostgreSQL add-on)
- Optional networking add-ons (ALB, NAT Gateway)
- Dashboard and API for management operations
- Support per your plan tier
The service does not include direct AWS Console access (until graduation), application code development or debugging, database schema design, or third-party service management.
2. Account Ownership and AWS Accounts
The AWS account provisioned for you is owned by you. Thane manages the account under your authority via a cross-account IAM role protected by Service Control Policies (SCPs).
You can request graduation at any time to take full control of your AWS account. Upon graduation, Thane removes all management access and you assume full responsibility. AWS infrastructure costs during the managed period are absorbed by Thane — you pay only the Thane subscription.
3. Subscription and Billing
- All plans require a valid payment method.
- Charges are billed monthly in advance (or annually for annual plans).
- Plan upgrades are immediate with prorated charges.
- Plan downgrades take effect at the end of the current billing period.
- Add-ons are billed immediately with proration for partial periods.
- Prices may change with 30 days' written notice. Existing customers are grandfathered at their current price for 6 months after a price increase.
4. Service Level Agreement
SLA commitments apply only to Growth and Scale plans. Uptime commitment, measurement methodology, exclusions, and credit structure are defined in the SLA documentation for your plan tier.
SLA credits are your sole and exclusive remedy for downtime. Maximum monthly credit: 50% of the monthly platform plan fee.
5. Suspension and Termination
By Thane (for non-payment)
Service is suspended after 14 days of failed payment. Your account is closed after 74 days of failed payment. There is a 30-day grace period after closure before permanent data deletion.
By Thane (for Acceptable Use Policy violation)
Thane may suspend service immediately upon discovery of an AUP violation. You will be notified via email with the specific violation and have 48 hours to remediate. Severe violations (illegal activity, active security attacks) result in immediate termination without a remediation period.
By you (voluntary closure)
You can close your account at any time via the dashboard. Apps are stopped immediately. There is a 30-day grace period during which the account can be reactivated. After 30 days, all data is permanently deleted and the AWS account is recycled or closed. A prorated refund is issued for unused days in the current billing period.
By you (graduation)
You can initiate graduation via the dashboard. Upon completion, Thane has zero access to your account. Your subscription is canceled with no further charges. Graduation fees apply per your selected graduation package.
6. Limitation of Liability
- Thane's total liability is limited to the fees paid by you in the 12 months preceding the claim.
- Thane is not liable for indirect, incidental, consequential, or special damages.
- Thane is not liable for data loss resulting from your actions, your code, or force majeure events.
- Thane is not liable for AWS service outages or AWS pricing changes.
- You are responsible for maintaining backups of your application code (in your own repositories).
7. Indemnification
Thane indemnifies you against claims that the Thane platform itself infringes third-party intellectual property.
You indemnify Thane against claims arising from your application code, data, use of the platform, or your end users' interactions with applications hosted on Thane.
8. Intellectual Property
You retain full ownership of your application code, data, and content. Thane claims no ownership or license over your content beyond what is needed to provide the service.
The Thane platform, dashboard, API, control plane code, and documentation are Thane's intellectual property. You receive a limited, non-exclusive license to use the platform during your subscription.
9. Acceptable Use
Your use of Thane is subject to the Acceptable Use Policy, which is incorporated into these Terms by reference.
10. Changes to These Terms
Thane may update these Terms with 30 days' notice via email. Material changes (pricing, liability, data handling) require your explicit acceptance at next dashboard login. Non-material changes take effect automatically after the notice period.
